SPRING 2023 ONLINE PAYMENT PROMOTION – OFFICIAL RULES

Entry Periods/Eligibility: The “Winsupply Inc. Spring 2023 Online Payment Promotion” (the “Promotion”) consists of a prize period (the “Prize Period”) of February 14, 2023 through and including March 10, 2023. To have a chance to win a Prize, entries must be received after 12:01 a.m. Eastern Time on February 14, 2023 and before 11:59 p.m. Eastern Time on March 10, 2023. Employees of Winsupply Inc. (“Winsupply”) and its affiliates[i] (collectively the “Winsupply Entities”) and their family members are not eligible to enter the Promotion.  Persons that are not in the business of providing electrical, HVAC, or plumbing services are not eligible to enter the Promotion. Residents of Louisiana are not eligible to enter the Promotion. Entrants: (i) agree to be bound by and comply with these Rules and by the interpretations of them by Winsupply; and (ii) release and hold harmless the Winsupply Entities from all claims arising from participation in the Promotion (including without limitation, any activities related to acceptance and/or use of a Prize), and/or from entrants’ acceptance, receipt, use or misuse of a Prize. Individuals and entities are eligible to enter provided other eligibility requirements are satisfied.  To be eligible to win a Prize, the entrant must be either: (i) an individual legal resident of the United States and at least 21 years old at time of entry or (ii) a validly existing entity organized, formed, or incorporated in the United States.

Entry; Winner Selection: There are three ways to enter the Promotion: (i) make a payment online during the Prize Period by electronic check using the “make payment” function in connection with any purchase from a Winsupply Entity made by you in the ordinary course of business OR by ordering online through our e-commerce website; (ii) send an email during the Prize Period to contestentry@winsupplyinc.com with the subject line “Spring 2023 Online Payment Promotion Entry” and include your name, address, and phone number; (iii) send a letter with your name, address, and phone number to Winsupply Inc., Attn: Spring 2023 Online Payment Promotion Entry, 3110 Kettering Blvd., Dayton, Ohio 45439 to be received during the Prize Period. Limit one entry per entrant per Prize Period. Nine Prize winners will be randomly selected for the Prize Period from all entries received during the Prize Period within seven days following the end of the Prize Period. Entries that are not selected for a Prize will be discarded and will not be eligible for any future promotions. Winsupply will attempt to contact each Prize winner to arrange for delivery of the Prize. If a potential winner cannot be reached by the end of the second full business day after the drawing, an alternate winner will be selected. Entrants need not be present at drawing to win. Each winner will only be eligible to receive one Prize. If winner is unable to accept a Prize for any reason, the winner’s privileges and Prize will be terminated and an alternative winner will be selected from the remaining eligible entries.   

Winner Verification: Each winner of a prize must prove eligibility within five business days after being notified. Non-compliance will result in disqualification. Each winner must sign and return within seven days if requested by Winsupply a release and affidavit of eligibility. Entry into the Promotion constitutes agreement to sign such documents. The winner must also complete any additional legal documents provided by Winsupply. 

List of Winners:  The list of Prize winners and identifying information (which may include address) may be obtained by sending a request and self-addressed stamped envelope to 3110 Kettering Blvd., Dayton, Ohio 45439 ATTN: Spring 2023 Online Payment Promotion Winners on or before May 31, 2024. Each entrant consents to Winsupply providing such information as required or requested. 

Prize: Nine Apple Watch Series 8 (each, a “Prize”) will be awarded during the Promotion. The retail value of each Prize is $500. The Prizes do not include anything other than as specifically set forth in these Rules.

Odds: The odds of winning a Prize depends on the number of eligible entries received. Winsupply estimates that there will be approximately 38,000 eligible entries received. Therefore, the approximate odds are 9:38,000 (9 out of 38,000).

If for any reason any Prize-related component is delayed or cancelled, or postponed, Winsupply reserves the right to cancel or modify the Promotion in its sole discretion. If any Prize is unavailable, winners will receive $500 by cash, check or money order.

THE WINSUPPLY ENTITIES MAKE NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE ACCEPTANCE OR USE OF ANY PRIZE OR ANY PORTION THEREOF, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

General Prize Terms: Arrangements for fulfillment of the Prizes will be made by Winsupply. All costs and expenses not specifically listed as part of the Prize above, including without limitation transportation and any other products or services used in connection with a Prize are solely the winner’s responsibility. The value of a Prize will be taxable to the winner as income. Upon entry into this Promotion, all entrants are required to comply with all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Rules are solely the responsibility of the winner. The Winsupply Entities shall have no responsibility or obligation to the winner or potential winner who is unable or unavailable to accept or utilize a Prize as described herein. No substitution, transfer, or cash equivalent of any Prize or any portion thereof is permitted, except by Winsupply, in which case a prize of comparable or greater value may be awarded in Winsupply’s discretion. Prizes are not transferable or assignable. The odds of winning a Prize depend on the number of entries received.

General Terms: Noncompliance with any of these Rules may result in disqualification. ANY VIOLATION OF THESE RULES BY ANY POTENTIAL PRIZE WINNER OR PRIZE WINNER OR ANY BEHAVIOR BY ANY POTENTIAL PRIZE WINNER OR PRIZE WINNER THAT WILL BRING SUCH PRIZE WINNER OR ANY OF THE WINSUPPLY ENTITIES INTO DISREPUTE (IN THE WINSUPPLY ENTITIES’ SOLE DISCRETION) WILL RESULT IN SUCH PRIZE WINNER’S DISQUALIFICATION AS A PRIZE WINNER AND ALL PRIVILEGES AS PRIZE WINNER WILL BE IMMEDIATELY TERMINATED.

Winsupply Entities assume no responsibility for: (i) incomplete or incorrect entry information, (ii) for any problems or technical malfunctions; (iii) any error in the administration of this Promotion. If, for any reason, this Promotion is not capable of running as planned, Winsupply reserves the right to cancel or modify this Promotion. Winsupply reserves the right to disqualify any individual it suspects (a) to have tampered with the entry process or the operation of this Promotion, (b) to be in violation of these Rules, (c) to be acting disruptive, or (d) to have provided inaccurate information.

EACH entrant hereby waives all rights to claim indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses. THE PROMOTION SHALL BE CONSTRUED UNDER OHIO LAW AND ALL DISPUTES SHALL BE RESOLVED IN MONTGOMERY COUNTY, OHIO.

NOTICE:  IF AT ANY TIME YOU WISH TO BE REMOVED FROM ALL LISTS OF NAMES AND ADDRESSES USED BY WINSUPPLY TO MAIL SIMILAR PROMOTIONAL MATERIALS, PLEASE SEND A WRITTEN NOTICE TO: WINSUPPLY INC. PROMOTION REMOVAL NOTICE, ATTN: ELYSE CHEATWOOD, 3110 KETTERING BLVD., DAYTON, OHIO 45439. UPON RECEIPT OF THE NOTICE BY WINSUPPLY YOU WILL NOT RECEIVE FURTHER SIMILAR PROMOTIONAL MAILINGS FROM WINSUPPLY.
